This is the current, effective policy for RepeatWell, prepared by the owner as a conservative, good-faith effort to address the topics below.

Terms of Sale

Effective date: July 28, 2026.

These Terms govern purchases of RepeatWell editions from Kyle K Grupico, operating under the RepeatWell brand (1885 Hylan Blvd #1266, Staten Island, NY 10305, United States). Contact: support@repeatwell.com.

1. What RepeatWell is

RepeatWell is local-first desktop software that generates and manages a plain-Markdown operations vault on the customer's own machine. It provides no cloud storage, automatic backups, client portal, hosted AI service, third-party integrations, or accounting, tax, or legal services or advice.

3. Billing options

Monthly / Yearly: access, updates, and email support continue while subscribed; cancel anytime. One-time: permanent use of the purchased version, including 12 months of updates and email support; no renewal required; future major-version upgrades may be sold separately. The one-time license is not a "Lifetime" license.

4. Taxes, payment, delivery

Taxes: RepeatWell collects and remits New York State and local sales tax on its paid, prewritten downloadable software editions (Professional, Full Operations) sold to customers in New York, consistent with New York's treatment of prewritten software as taxable regardless of delivery method. This is an owner-run, conservative classification (see docs/tax/NY_SALES_TAX_CLASSIFICATION.md), not professional tax advice, and does not determine sales-tax treatment for customers outside New York. Payment is handled by a third-party hosted checkout provider (Stripe); RepeatWell does not collect or store card details. Delivery is by verified download from a secure download link provided after purchase with published SHA-256 checksums.

5. Refunds, license, and file ownership

Refunds follow the Refund Policy. Use follows the Software License Agreement. You own the Markdown files you create; they remain readable to you regardless of subscription status.

6. Warranties, liability, governing law

The software and services are provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law, and with no guarantee of any specific business, accounting, tax, or compliance outcome. Seller's total liability is limited to the amount paid for the applicable edition in the preceding 12 months, excluding indirect, incidental, or consequential damages, to the maximum extent permitted by law. These Terms are governed by the laws of the State of New York; both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York State.
